1. Acceptance of Terms
By accessing or using CareNote ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
CareNote provides a cloud-based software platform for homecare agencies and assisted living facilities, including resident management, staff operations, compliance tracking, billing, and reporting tools.
3. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate and complete registration information
- You are responsible for all activity under your account
- You must notify us immediately of any unauthorized access
4. Data Ownership
You retain full ownership of all data you enter into CareNote. We do not claim ownership of your resident, staff, or operational data. You may export or delete your data at any time.
5. Subscription & Billing
- Subscriptions are billed monthly at the rate corresponding to your selected plan
- You may upgrade, downgrade, or cancel at any time
- Refunds are provided on a prorated basis for annual plans
- We reserve the right to update pricing with 30 days notice
6. Acceptable Use
You may not use CareNote to store, transmit, or process data in violation of any applicable law, including HIPAA. You must implement appropriate access controls within your organization.
7. Service Availability
We strive for 99.9% uptime. We are not liable for interruptions due to maintenance, third-party service failures, or force majeure events.
8. Limitation of Liability
CareNote's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Governing Law
These Terms are governed by the laws of the State of Minnesota. Any disputes shall be resolved in Hennepin County, Minnesota.
